Rule 01

What Reg A+ Tier 2 is

An SEC-qualified exemption that lets a company raise up to $75M per 12 months from individual investors — accredited and non-accredited. AMP uses this rail. Each cohort files its own Form 1-A.

Rule 02

The retail investment limit

If you are NOT accredited, the SEC limits your annual subscription to 10% of the greater of your annual income or net worth excluding primary residence — per Rule 251(d)(2)(i)(C). Accredited: no cap.

Rule 03

Why the limit exists

The cap protects retail investors from over-concentration in private-market exposure. AMP supports this — your subscription is sized to your circumstances, not vice versa.

What people ask most.

What if I’m not a US resident?
Cohort-by-cohort. Each cohort’s Offering Circular discloses which non-US jurisdictions are eligible to participate. Some non-US individuals can subscribe; others require institutional pathways.
Does my retirement account qualify?
IRA and self-directed retirement vehicles can subscribe to AMP offerings subject to plan terms and the cohort Offering Circular. Consult your retirement account administrator and review the OC.
Can I split my allocation across multiple cohorts?
Yes, subject to your aggregate Reg A+ Tier 2 retail cap if non-accredited, and per-cohort minimums (AMP minimum: $1,000). The cap math applies to your total annual subscription across all Reg A+ Tier 2 offerings, not per-platform.
What documents do I need at subscription?
Government ID, SSN/ITIN, residential address, banking details for subscription funding, accreditation proof if self-attesting as accredited. Document upload runs through the KoreConX broker-dealer portal.
How long does verification take?
Automated verification-rail target: under 2 minutes. Manual review fallback (current default): 24–48 hours. Status visible in your account dashboard.
